ARTICLE I

NAME
The name of the association is Gas Compressor Association (GCA), or the “Association” of the Dallas Association of Credit Management, Inc., (DACM). The Association is composed of members having common interests and meeting the requirements for membership set forth herein. All members of the Association are bound by and subject to the bylaws of the DACM and the policies set forth from time to time by its Board of Directors, as well as by the directives set forth in the GCA bylaws.

ARTICLE II

PURPOSE

A. The purpose of the GCA is to promote and further, in every lawful manner, the interests of its members. The GCA and its members shall, subject to all applicable laws:

  1. Collect and disseminate information to members in accordance with these bylaws and the GCA statistical procedures;
  2. Promote a spirit of cooperation among the members for:
  1. Quality engineering, manufacturing and fabrication of gas compressor packages,
  1. Safety in installation, operation and maintenance of gas compressor packages, and
  1. Development of standards for fabricating and operation of gas compressor packages,
  1. Engage in cooperative education and research activities;
  1. Promote the common and lawful business interests of the members, but shall not engage in business of the kind ordinarily carried on for profit or perform particular services of the members or individual persons, as distinguished from activities to improve the business conditions and lawful interests of all of the members.
  1. In the accomplishment of the purposes set forth herein, it is the policy of the Association to comply fully at all times with all applicable laws, including, without limitation, federal and state anti-trust laws. To that end and among other things, neither DACM, the GCA, the members of the GCA nor the Administrative Manager of the GCA shall discuss, compare, collect or disseminate statistics or other data concerning transactional prices, pricing policies, or other price-sensitive information. To the extent that any provision of the GCA bylaws or any policy or procedure of the Association may be deemed in conflict with such laws, then that provision, policy or procedure shall be deemed null and void and of no force or effect.

ARTICLE III

 

MEMBERSHIP

 

  1. Membership in the GCA shall be held in two categories, Voting Members and Associate Members. No member eligible for Voting Membership status shall be allowed to hold an Associate Membership.
  1. Definitions
    1. North American companies are partnerships, proprietorships, corporations, or joint ventures whose principal place of business are in Canada or the United States and operate in a distinct business segment or product line and have their own general management.
  1. International companies are partnerships, proprietorships, corporations, or joint ventures whose principal place of business are outside of Canada or the United States and operate in a distinct business segment or product line and have their own general management.
  1. Manufacturer shall mean the design, assembly, testing, development and creation (by machining and/or other value-added processes) of the member companies:
  1. Finished gas engine or electric motor drivers, compressors, cooler and/or compressor package control panels or control systems if the member company is a Voting Member.

  1. Finished component(s) or product(s) if the member company is an Associate Member.
  1. Voting Members
  1. All Voting Members of the GCA shall be North American or International companies that engage in one or more of the following that are used in oil and gas field production and distribution services including gas processing and transmission:
  1. Manufacturer of gas compressors, gas engine or electric motor drivers, coolers, compressor package control panels or control systems that are used in oil and gas field production and distribution services including gas processing and transmission.
  1. Authorized dealers or distributors of GCA member engine or electric motor driver and compressor manufacturers.
  1. The fabrication, assembly and selling of new gas compressor
  1. The leasing, renting or contract operation of gas compressor
  1. Voting Membership in the GCA shall be held in the name of an individual company defined as a company operating in a distinct business segment or product line and having its own separate general management.
  1. Each Voting Member shall have one vote, which shall be cast by its designated voting representative or either of two alternates. All voting representatives and alternates must be direct full time employees of the Voting Member. A Voting Member, to remain in good standing, must have one of its representatives attend at least one of three consecutive meetings of the GCA.
  1. In order to be a Voting Member of the GCA, each individual company must be a member of the DACM and abide by the bylaws of the DACM and the bylaws of the GCA.
  1. Application for Voting Membership shall be presented to the Membership Committee on an application form provided by the The application shall be signed by the applicant and shall contain an agreement to the effect that said applicant will fulfill and perform all requirements contained in the GCA bylaws.
  1. Voting Membership shall be effective upon a majority vote of the Advisory
  1. Special guests may be invited to attend a meeting or social event only by the Membership Services Committee (MSC). All requests to extend invitations to guests or potential members should be submitted to MSC for review and approval. When approved, a formal, written invitation shall be extended for the specific GCA event by the MSC or the Administrative Manager of the GCA.
  1. All Voting Members with reportable information must contribute statistical data to the GCA in accordance with the published GCA Statistical Procedures for statistical data.
  1. Failure to comply with provisions of the bylaws shall be cause for disciplinary action, including suspension from receiving statistical data and/or suspension or expulsion from membership, as the Advisory Board may deem necessary and appropriate. The Voting Member charged with the noncompliance must be advised of the charges and offered an opportunity to be heard with respect thereto and, in general, afforded due process.
  • Associate Members
  1. Associate Members of the GCA shall be North American or International companies that engage in one or more of the following that are used in oil and gas field production and distribution services including gas processing and transmission and that do not meet the requirements of Voting Membership in the GCA, as Defined in Article II, Section II above.
  1. The selling, servicing and/or repairing of used gas compression
  1. Manufacturer of components or products commonly used on a gas compressor skid.
  1. Associate Members in the GCA shall be held in the name of an individual company defined as a company operating in a distinct business segment or product line having its own separate general management.
  1. Each Associate Member must have a minimum of one, and maximum of three designated representatives. All representatives must be direct full time employees of the Associate An Associate Member, to remain in good standing, must have one of its representatives attend at least one of three consecutive meetings of the GCA.
  1. In order to be an Associate Member of the GCA, each individual company must be a member of the DACM and abide by the bylaws of the DACM and the bylaws of the GCA.

  1. Annual dues will cover all the services as described in Article IV of the GCA bylaws for the period of January 1 through December Dues will be prorated for partial year memberships.
  1. Dues collected in excess of the DACM charges will be deposited in the GCA trust fund maintained by DACM.
  1. Any initiation fees or special assessment fees may be set by the Advisory Board and all disbursements of trust fund balances shall be approved by the Advisory
  1. After due notice from the Administrative Manager, any member who shall fail to pay the annual membership dues sixty (60) days after they become due and payable will be suspended from the membership.
  1. Upon dissolution of the GCA, the GCA trust fund balance in excess of any GCA expenses and accumulated interest, if any, will be distributed to the members on a prorated basis of dues paid for the year of dissolution.

ARTICLE IV

 

SERVICE OFFICE

 

  1. DACM shall be the Service Office of the A member of the staff of DACM shall serve as Administrative Manager of the GCA and as a non-voting member of the Advisory Board.
  1. The Administrative Manager shall have the following duties:
  1. Be responsible for submitting financial statements to the Advisory Board at each regularly scheduled meeting.
  1. Send appropriate notices and otherwise keep the membership advised of matters pertaining to the association.
  1. Organize, attend and host all scheduled meetings of the Advisory Board and the GCA membership. Record minutes of both the Advisory Board and general meetings and forward to the Chairman of the Advisory Board prior to general release.
  1. Maintain the online roster, listing the names of member companies and designated voting representatives and alternates.
  1. Prepare the meeting agenda, after consultation with and at the discretion of the Chairman of the Advisory Board and the Chairman of the Program Committee and distribute said agenda prior to each meeting.
  1. Compile and distribute the GCA statistical The publication format, contents, reporting methods, distribution periods and rules governing distribution service of such publications shall be set by the Advisory Board, in accordance with provisions of the GCA bylaws.
  1. Bill and collect membership dues and provide a detailed accounting of all income and disbursements of all GCA trust funds.
  1. Serve the GCA members in all necessary ways and assume such specific duties as may be requested by the GCA Advisory Board.
  1. The Administrative Manager shall disburse the GCA trust funds as directed by the Advisory Board.
  1. It is specifically understood that requests for changes in the duties or services rendered by either the GCA Administrative Manager or DACM are subject to the request for additional fees payable to DACM with the understanding that such increases would have to be approved by the Advisory Board of the GCA.
  1. The information included in documents furnished by any member of the GCA to the Administrative Manager and DACM shall be held strictly confidential and, except as a part of the composite of statistical data distributed to the membership, shall not be divulged to any other member or to any outside individual or organization unless specifically authorized in writing by the member furnishing the documents.
  • The statistical data distributed by the GCA Service Office shall be released only to each member’s designated voting representative. It will be the member’s obligation to see that written statistical data received from the GCA Service Office is not released to anyone outside the management of the organization. Failure to comply shall result in the following disciplinary action: for a first offense suspension from receiving statistical data for one quarter and in the event of a second offense, suspension from The member charged with noncompliance must be advised of the charges and offered an opportunity to be heard, before the GCA Advisory Board, with respect thereto. After such hearing, the judgment of the GCA Advisory Board shall be final.

ARTICLE V

 

MEETING

 

  1. General membership meetings and Advisory Board meetings shall be held 3 times a year (during the months of February, June and October or at other times) on the dates and sites determined by majority votes of members previously in attendance. Written confirmation of the time and place of each meeting shall be mailed no less than 30 days prior to the scheduled meeting date.
  1. Special meetings of the Board may be held by telephone and may be called at any time by the Chairman of the Advisory Board, or by the Administrative Manager at the request of a majority of the Advisory Board members, with oral or written notice of the time, place and purpose of such meeting to be given each Advisory Board member not less than five days before such meeting. Any matter may be acted upon, whether or not included as a purpose in the notice of such meeting.

ARTICLE VI

 

ADVISORY BOARD

 

  1. The voting members of the Advisory Board shall be a Chairman, Chairman-Elect and five other elected members. In addition, the immediate Past Chairman and Administrative Manager shall serve as non-voting Advisory Board members.
  1. Each member of the Advisory Board, with the exception of the Administrative Manager, must be either the designated voting representative or an alternate representative of a GCA Voting Member company.
  • All Advisory Board voting members (except Chairman) shall be elected at the annual meeting in October to serve for one year from January 1 through December 31 of the following year.
  1. The duties and responsibilities of elected Advisory Board members shall be the following:
  1. CHAIRMAN

The Chairman shall preside at all meetings of the GCA and of the Advisory Board and have general supervision of the GCA, subject to the control of the Advisory Board. The Chairman of the Advisory Board shall have the authority to delegate responsibilities to members as necessary. At the Chairman’s discretion, a meeting of the Advisory Board may be called to discuss or transact business of the GCA.

  1. CHAIRMAN-ELECT

The Chairman-Elect shall assist the Chairman of the Advisory Board in the discharge of the Chairman’s duties and shall have full authority to perform such duties in the absence of the Chairman. The Chairman-Elect shall succeed the Chairman.

  1. ADMINISTRATIVE MANAGER

The office of Administrative Manager shall be filled by a DACM representative as stipulated in Article IV of the GCA bylaws. The Administrative Manager shall keep and maintain records of all GCA trust funds received and disbursed and as otherwise stated in Article IV.

  1. The Advisory Board shall have the authority to fill interim vacancies, pending the next annual election. When the term expires for a vacant position in which an individual is appointed, that individual may be nominated to a subsequent full term in that position or in a succeeding position.
  1. Any voting member of the Advisory Board may be removed at any time by a two-thirds (2/3) majority vote of the GCA membership.
  • A majority of the voting members of the Advisory Board shall be required to carry a motion within a Board Meeting.

VII.       Three voting Advisory Board members constitute a quorum for a meeting of the Advisory Board.

ARTICLE VII

 

COMMITTEES

 

  1. The Chairman of the Advisory Board shall appoint the chairmen of the standing committees and such other committee chairmen as may be required for special (ad hoc)
  1. Each standing committee shall consist of a chairman, plus members or their designees selected by the chairman, for a period of one year.

  1. MEMBERSHIP COMMITTEE

The Membership Committee shall solicit memberships in the GCA and, based on the provisions in the GCA bylaws, make recommendations to the Advisory Board on qualifications of proposed members.

  1. PROGRAM COMMITTEE

The Program Committee, with the assistance of the Administrative Manager, shall plan, arrange and carry out the agenda and program for each regularly scheduled meeting of the GCA.

ARTICLE VIII

 

PARLIAMENTARY PROCEDURES

 

  1. All meetings of the organization shall be governed by parliamentary law in accordance with the provisions of Robert’s Rules of Order Newly Revised (latest edition), except as otherwise provided in the GCA bylaws.
  1. Voting shall be in person by the designated voting representative or alternate, and not by proxy, with each Voting Member company present entitled to one vote, as stated in Article III, Section IIC, of the GCA bylaws.
  • The GCA and the members of the GCA shall take no action that is in violation of the bylaws and charter of DACM.

ARTICLE IX

 

AMENDMENTS OF BYLAWS

 

  1. The GCA bylaws may be amended by two-thirds vote of those Voting Members present at any meeting, provided that the full text of the proposed amendment is submitted to all members in writing no less than ten (10) days prior to such meeting.
  1. These bylaws and any amendments to these bylaws are subject to prior approval of the legal counsel and the Board of Directors of DACM.

  1. General policy of DACM
  1. The Dallas Association of Credit Management, Inc., (DACM), in its capacity as the Service Office of the Gas Compressor Association, (GCA), shall collect and disseminate statistical information as provided in the GCA bylaws and approved by the GCA Advisory Board.
  1. DACM has handled confidential statistical data for its members since 1908 and all personnel at DACM are aware of the sensitive nature of individual company
  1. Collection of Statistical Data
  1. The Advisory Board of the GCA will approve monthly and quarterly statistical reporting The DACM Service Office will be responsible for the timely gathering of statistical data from the GCA members.
  1. All company data is due in the DACM office by the 15th of the month following the end of the reporting period.
  1. Participation in rental, packaging or manufacturing statistical activities is mandatory for all GCA Voting Members.
  1. Upon request, all compressor or driver or cooler “manufacturers” must submit a summary of their products designating model and published frame “reporting” horsepower for each compressor or engine driver of which Voting Member manufacturers for sale. Frames and drivers must always be reported by the GCA Voting Members using these “reporting” horsepower to insure consistency regardless of any other BHP ratings.
  1. Compressor listings shall include model, horsepower, and speed ranges where applicable (Stroke if necessary to clarify).
  1. Engine driver listings shall include model, horsepower and speed ranges and turbocharged engines are to be rated at maximum continuous

horsepower at either 120 or 130 degree design, (vs. typically 90 degrees) intercooler water temperature, whichever is the manufactured standard.

  1. Motor drivers shall be reported by all Voting Members and their nameplate horsepower (Do not include any service factor).
  1. For packaged compressor units, the horsepower rating reported will be the maximum horsepower of the driver at its maximum speed or the speed as limited by the “maximum” speed of the compressor.
  1. This horsepower information will be published in the “Gas Compressor Association Manufacturers Listing of Compressors, Drivers, and Integral Engine- Compressor Listing” updated at least once per year.
  • Compilation and Distribution of Statistical Data
  1. The DACM Service Office will be responsible for the compilation and reporting of statistical data for the GCA Voting Members in accordance with the provisions of the GCA bylaws.
  1. If less than three (3) compressor or driver manufacturers report data in any statistical category, no compiled data will be provided, unless specifically approved by the reporting Zero is considered a significant number.
